Terms of Service

1. Preamble

These Terms of Service (hereinafter "Terms") govern access to and use of the Usembic platform (hereinafter the "Service"), accessible at usembic.com. The Service is currently offered as a free beta version. Use of the Service implies full and complete acceptance of these Terms. These Terms are accessible at any time on the website under the "Terms" section.

3. Definitions

"Publisher" refers to Alex Zecca, operating the Usembic Service. "User" refers to any individual or legal entity accessing the Service and holding an account. "Service" refers to the Usembic SaaS platform enabling the transformation of documents (specifications, PRDs, requirements) into structured backlogs using artificial intelligence. "User Content" refers to all documents, data, and information imported or created by the User on the Service. "AI Subprocessor" refers to OpenAI, Inc., provider of the artificial intelligence technologies (ChatGPT) used by the Service.

4. Acceptance of Terms

Access to and use of the Service are subject to acceptance and compliance with these Terms. By creating an account or using the Service, the User acknowledges having read, understood, and accepted these Terms without reservation. The Publisher reserves the right to modify these Terms at any time. Users will be notified of any substantial modifications. Continued use of the Service after notification constitutes acceptance of the new Terms.

5. Service Description

Usembic is a SaaS document analysis platform powered by artificial intelligence. The Service enables you to: • Import documents (specifications, PRDs, requirements, meeting notes) • Automatically analyze content via ChatGPT API (OpenAI) • Generate structured user stories with acceptance criteria • Export results to third-party tools (Jira, Asana, etc.) The Service is currently offered as a free beta version. Features may evolve without notice. Testing Use Only: The Service is exclusively intended for testing and proof of concept (POC) purposes. Any use of the Service for critical production or large-scale commercial purposes is at the User's own risk. Access and Costs: The Service is accessible via the Internet. All costs incurred by the User to access the Service (hardware, Internet connection, etc.) remain their responsibility.

6. Account Creation and Access

Access to the Service requires creating a user account. The User agrees to provide accurate and up-to-date information during registration. The User is responsible for maintaining the confidentiality of their login credentials and for all actions performed under their account. In case of suspected unauthorized use, the User must immediately notify the Publisher. Access to the beta Service is granted by invitation and may be revoked at any time by the Publisher.

7. Usage Rules

The User agrees to use the Service fairly and in accordance with its intended purpose. The following are prohibited: • Any use for illegal or immoral purposes • Attempting to circumvent security measures • Using unauthorized robots, scripts, or automated tools • Sharing login credentials with third parties • Importing illegal, counterfeit content or content infringing third-party rights • Any action likely to compromise the security or operation of the Service

8. Intellectual Property

Service Ownership: All elements comprising the Service (software, interface, algorithms, trademarks, logos) are the exclusive property of the Publisher and are protected by intellectual property laws. User Content Ownership: The User retains all intellectual property rights over the Content they import or create via the Service. The Publisher acquires no ownership rights over such content. Results generated by the Service (user stories, structured backlogs) from User Content belong entirely to the User. Feedback: The User is invited to share comments, improvement suggestions, or bug reports with the Publisher (hereinafter "Feedback"). The User grants the Publisher a worldwide, irrevocable, perpetual, and royalty-free license to use, reproduce, and integrate this Feedback into the Service, without any restriction or compensation.

9. User Data and Confidentiality

The Publisher commits to treating User data with the utmost confidentiality. Data Location: • Account and usage data: hosted within the European Union (OVH, France) • Imported documents: stored on Backblaze B2 (Central Europe), SOC 2 compliant cloud storage service Third-Party Transfer: For artificial intelligence processing, User Content is transmitted to OpenAI, Inc. (United States) via their API. OpenAI acts as a subprocessor and contractually commits not to use this data to train their models (API usage). This transfer is governed by Standard Contractual Clauses (SCCs) approved by the European Commission. Confidentiality: User Content is NEVER published, shared, or disclosed to third parties other than Backblaze (storage) and OpenAI (AI processing). It is never used for commercial, marketing, or resale purposes. Data Deletion: Upon account deletion, User data is immediately and permanently deleted from our systems (including Backblaze). No copies are retained. The User may request export or deletion of their data at any time by contacting the Publisher.

10. Personal Data Protection

The Publisher collects and processes Users' personal data in accordance with the General Data Protection Regulation (GDPR) and applicable data protection laws. Data collected: email address, name, login information, Service usage data. Purposes: providing the Service, improving user experience, communications regarding the Service. User Rights: access, rectification, erasure, restriction, portability, objection. These rights may be exercised by email at the address indicated at the end of this document. 11. Use of Artificial Intelligence

Technology Used: The Service uses OpenAI's ChatGPT API to analyze documents and generate structured user stories. User Content is transmitted to OpenAI servers for processing. OpenAI Commitments: In accordance with OpenAI's API terms of use, data transmitted via the API is NOT used by OpenAI to train or improve their AI models. Use by Publisher: User Content and generated results may be used by the Publisher solely to: • Improve the quality of prompts and Service instructions • Analyze performance and relevance of results • Fix bugs or malfunctions This data is NEVER: • Published publicly • Shared with third parties (except OpenAI for processing) • Used for commercial or marketing purposes • Used to train proprietary AI models The User may object to this use by contacting the Publisher. Generated Results: Results produced by the AI are provided as aids and suggestions. THE USER IS SOLELY RESPONSIBLE FOR VALIDATING, VERIFYING, AND FINAL USE OF GENERATED RESULTS. The Publisher does not guarantee the accuracy, completeness, or suitability of results for any particular purpose. AI Limitations: The User acknowledges that artificial intelligence technologies may generate inaccurate, incomplete, or biased results (known as "hallucination"). Results should under no circumstances be considered as legal, technical, or business advice without thorough human review.

12. Service Availability

The Service is provided "as is" and "as available." Being in beta phase, the Service may experience interruptions, malfunctions, or changes without notice. The Publisher makes no availability commitments (SLA) during this phase. The Publisher reserves the right to suspend or interrupt the Service for maintenance, updates, or any other reason, without entitling to any compensation.

13. Limitation of Liability

As the Service is provided free of charge during the beta phase, the Publisher's liability is limited to the maximum extent permitted by applicable law. UNDER NO CIRCUMSTANCES SHALL THE PUBLISHER BE LIABLE FOR: • Indirect, consequential, special, or punitive damages • Loss of data, profits, revenue, or business opportunities • Decisions made based on results generated by the Service • Unsuitability of results for the User's specific needs • Service interruptions or malfunctions The User acknowledges that AI-generated results must be systematically validated and verified before any operational use.

14. Modifications to Service and Terms

The Publisher reserves the right to modify at any time: • Service features • These Terms • Pricing conditions (in case of transition to a paid version) Substantial modifications to the Terms will be notified to Users by email or via the Service with reasonable notice. Continued use of the Service after modifications take effect constitutes acceptance.

15. Termination

The User may terminate their account at any time by deleting their account from the Service settings or by contacting the Publisher. The Publisher may terminate or suspend a User's access: • In case of violation of these Terms • In case of abusive use of the Service • At any time and without reason during the beta phase, with 7 days notice Upon termination, User data is immediately deleted in accordance with Section 8.

16. Cookies

The website uses cookies to ensure proper functioning. Technical Cookies: These cookies are essential for Service operation (authentication, user session, preferences). They do not require consent. Analytics Cookies: The website may use analytics cookies to understand Service usage and improve it. These cookies are subject to User consent. The User may configure their browser to refuse cookies. However, some Service features may no longer be available. For more information, please see our Privacy Policy.

17. Hyperlinks

The Service may contain links to third-party websites (Jira, Asana, Linear, Notion, etc.). The Publisher has no control over these websites and disclaims any responsibility for their content, privacy practices, or availability. Activating these links is solely at the User's discretion. The Publisher recommends reviewing the terms of use and privacy policies of these third-party websites before use.

18. Force Majeure

The Publisher shall not be held liable for any failure to fulfill contractual obligations in case of force majeure as defined by Article 1218 of the French Civil Code. The following are considered force majeure events: • Natural disasters • Failures or interruptions of telecommunications or electricity networks • Failures of cloud service providers (OVH, OpenAI) • Cyberattacks • Government or regulatory decisions • Any unforeseeable, unavoidable, and external event The website cannot be held responsible for any viruses or malicious software that may infect User equipment following use of the Service.

19. Governing Law and Jurisdiction

These Terms are governed by French law. In case of dispute regarding the interpretation or execution of these Terms, the parties shall endeavor to find an amicable solution. Failing amicable agreement, any dispute shall be submitted to the exclusive jurisdiction of the courts of Paris, notwithstanding multiple defendants or third-party claims.
